1. About these Terms

These Terms and Conditions (“Terms”) govern access to and use of b2bindustrial.in, operated by B2B Industrial Solutions (India) Pvt. Ltd. (“B2B Industrial Solutions”, “Company”, “we”, “our” or “us”), and the submission of preliminary business enquiries through the website.

By using the website, you agree to these Terms. If you engage us for professional services, the accepted proposal, quotation, purchase order, work order, service agreement, non-disclosure agreement or other written project document will also apply.

2. Website information is general

Website content, articles, tools, FAQs, case studies and service descriptions are provided for general information. They are not a substitute for a site-specific technical assessment, professional engineering advice, legal advice, regulatory advice or an agreed scope of work.

Laws, standards, tariffs, equipment conditions and regulatory requirements may change. Obtain current advice appropriate to your facility before relying on general website information.

3. Enquiries do not create a contract

Submitting a form, requesting a site visit, exchanging preliminary messages or receiving general information does not by itself create a client relationship, appointment, warranty or binding obligation to provide services.

A service engagement begins only when the parties accept the relevant commercial and technical terms through a proposal, quotation, purchase order, work order, agreement or other written confirmation.

4. Project documents take priority

Each project may have a separate scope, deliverables, assumptions, exclusions, timeline, fee, tax treatment, payment schedule, validity period, cancellation terms and liability allocation.

If these website Terms conflict with an accepted project document, the accepted project document controls for that engagement.

5. Quotations, fees, taxes and payment

Commercial terms depend on the nature, location, urgency, complexity and scope of the requested work. Quotation validity, advance requirements, milestone payments, reimbursable expenses, applicable taxes, GST, payment due dates and consequences of delay will be stated in the relevant proposal, quotation or agreement.

Unless expressly stated otherwise, website content does not constitute a fixed-price offer. Additional work, repeat visits, revised scope, expedited work, travel, statutory fees or third-party costs may require written approval and additional charges.

6. Client responsibilities

For professional services, the client is responsible for:

• providing accurate, complete and timely information, records, drawings, bills and site data;
• ensuring that the person instructing us has authority to act for the organisation;
• providing safe, lawful and timely access to relevant premises, equipment and personnel;
• disclosing known hazards, restricted areas, permits, shutdown requirements and safety procedures;
• providing required escorts, permissions, personal protective equipment or isolations where agreed;
• reviewing deliverables promptly and identifying material factual errors; and
• remaining responsible for facility operation, maintenance, implementation decisions and statutory compliance.

We may suspend or reschedule work where information, payment, access, safety arrangements or required cooperation are not provided.

7. Audit, inspection and report limitations

Unless a project document states otherwise, audits and inspections are based on the agreed scope, sampling methods, records made available, access provided and conditions observed at the relevant time. They may not identify every hidden, intermittent, inaccessible or subsequently arising defect, hazard, loss or non-compliance.

Reports and recommendations reflect professional judgement based on the available information. They do not constitute a guarantee that all risks have been eliminated or that a regulator, insurer, lender, certification body or other third party will accept a particular conclusion.

8. Estimates, savings and regulatory outcomes

Estimated savings, payback periods, performance improvements, emissions reductions, timelines and costs are projections based on stated assumptions. Actual results may vary because of operating practices, production levels, tariffs, weather, equipment condition, implementation quality, market prices and other factors outside our control.

Applications, approvals, consents, licences, NOCs and certifications remain subject to the relevant authority or third party. We do not guarantee approval unless expressly agreed in a written project document.

9. Website intellectual property

The website design, branding, text, graphics, original photographs, case studies, software, tools and other original content are owned by or licensed to B2B Industrial Solutions and are protected by applicable intellectual-property laws.

You may view, print or save a reasonable amount of website content for internal, non-commercial reference. You must not commercially reproduce, republish, scrape, sell, alter, misrepresent or distribute substantial website content without written permission.

10. Project deliverables and background materials

Ownership and permitted use of reports, drawings, calculations, designs, software, templates, photographs and other deliverables will be governed by the relevant project document.

Unless expressly transferred in writing, our pre-existing methodologies, know-how, templates, calculation methods, libraries, tools and general improvements remain our property. Any client licence to use a deliverable is limited to the agreed site, project and purpose and may be subject to full payment.

11. Confidentiality

We recognise that enquiries and projects may involve confidential commercial, operational, technical and safety information. We will use such information for the relevant enquiry, service delivery, administration, legal compliance and other authorised purposes.

Detailed confidentiality obligations may be included in a non-disclosure agreement or project agreement. Information that is public, independently developed, lawfully received from another source or required to be disclosed by law may not be treated as confidential.

12. Acceptable website use

You must not:

• use the website unlawfully, fraudulently or to submit false or misleading information;
• attempt to gain unauthorised access to accounts, systems, source code or infrastructure;
• introduce malware, automated abuse, excessive traffic or interfere with website operation;
• impersonate another person or misrepresent authority to act for an organisation; or

15. Limitation of liability

To the maximum extent permitted by law, B2B Industrial Solutions will not be liable for indirect, incidental, special, punitive or consequential loss arising solely from use of, or inability to use, the website or reliance on general website information.

Liability relating to paid professional services will be governed by the accepted project document. Nothing in these Terms excludes or limits liability for fraud, wilful misconduct or any liability that cannot lawfully be excluded or limited.

16. Force majeure and delays outside control

Neither party will be responsible for delay or failure caused by events reasonably beyond its control, including natural disasters, fire, flood, epidemic, war, civil disturbance, government restrictions, strikes, utility failure, transport disruption, cyber incidents or failure of critical third-party services. The affected party should take reasonable steps to reduce the impact and resume performance.

17. Suspension and termination

We may suspend website access or professional work where there is unlawful use, unsafe site conditions, material non-cooperation, non-payment, security risk or material breach. Project termination rights, notice periods and charges will be governed by the relevant project document.

18. Privacy

Our handling of personal information is described in the Privacy Policy. By submitting an enquiry, you confirm that information provided is accurate and that you are authorised to provide it.

19. Changes to these Terms

We may update these website Terms from time to time. The updated date will appear on this page. Changes apply prospectively to website use and new enquiries. They do not retroactively alter an already accepted project document unless the parties agree in writing or the law requires it.

20. General provisions

• Severability: if part of these Terms is unenforceable, the remaining provisions continue to apply.
• No waiver: failure to enforce a provision does not waive the right to enforce it later.
• Assignment: you may not assign rights under these Terms without our written consent; project-specific assignment rules may be stated separately.
• Relationship: website use does not create a partnership, joint venture, agency or employment relationship.
• Entire website agreement: these Terms and the Privacy Policy form the agreement concerning website use, subject to any separate accepted project document.

21. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to any dispute-resolution process agreed in a project document, courts at Gurugram, Haryana will have exclusive jurisdiction over disputes relating to website use and these Terms.
